You are reading these Terms of Use because MINGBAN MART (“ MINGBAN ”) has requested your permission to use your social media content. If you, the original intellectual property creator, permit us to use your social media content (“ User Content ”) with written reply, you confirm that you understand, accept, and agree to the following Terms of Use that apply to the access to, and use of, information by MINGBAN, its related companies, contractors, marketing or public relations agencies, and other affiliates ( the “ Licensed Parties ”), without any requirement of payment in a form of money or any other forms of considerations.

The User Content shall be permitted to be used on all platforms operated by MINGBAN and the Licensed Parties (together, the “ Platforms ”), in the form of including but not limited to webpages and social media pages, e-mails and advertisements, and any other marketing, promotional and advertising initiatives. MINGBAN and the Licensed Parties have the rights to use, display, reproduce, distribute, transmit, create derivative works from, combine with other materials, alter and/or edit the User Content in any manner, with no obligation owed to you whatsoever. MINGBAN and the Licensed Parties reserve the right to monitor, change, edit or disable access or remove any User Content from the Platforms at any time and without explanation or notice.

You hereby grant MINGBAN and the Licensed Parties the right to use your username, image, descriptions of you, or other identifying information, including but not limited to your voice, in connection with any use of the User Content.

You hereby agree and represent and warrant that (i) you solely own and responsible for your User Content and (ii) you are not a minor.

You hereby release, discharge, indemnify, defend and agree to hold MINGBAN and Licensed Parties, and any person acting on their behalf, harmless from any and all third party claims, liability, damages and/or costs (including but not limited to, legal fees) arising from our use of the User Content on the Platforms or your breach of these Terms of Use.

All content, including but not limited to the User Content, text, graphics, logos, button icons, images, audio clips, digital downloads, campaign titles and data compilations, included in or made available through our Platform, is the property of MINGBAN and /or the Licensed Parties and is protected by copyright laws and treaties. All such rights are reserved by MINGBAN and/or the Licensed Parties and/or its licensors.

These Terms of Use shall be governed and construed in accordance with the Law of Hong Kong Special Administrative Region. Both we and you hereby agree to submit to the non-exclusive jurisdiction of the Hong Kong Courts. In case of any doubt or discrepancy between the English and the Chinese version of these Terms of Use, the English version shall prevail.
